TERMS AND CONDITIONS – GPS TRACKING APPLICATION & PLATFORM
Please read these Terms and Conditions (“Terms”) carefully before using the IQTrack mobile application and the IQTrack business platform operated by IQDATA SINGLE-MEMBER PRIVATE COMPANY, which is established in accordance with the laws of Greece (“Company”, “we”, “us” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Eligibility & Account Registration
1.1. To use the Service, you must be at least 18 years old or of legal age in your jurisdiction and have the legal capacity to enter into a binding contract.
1.2. You may be required to create an account, provide accurate and complete information, and keep your login credentials secure and confidential.
1.3. You are fully responsible for all activities that occur on your account. If you suspect unauthorized access, you must notify us immediately.
2. Description of the Service
2.1. The Service allows authorized users to track vehicles, devices or other assets using GPS or similar technologies, view their location and related data, and generate reports and alerts.
2.2. The Service may include:
Mobile applications, web dashboards and APIs
Data storage for GPS and related telematics information
Alerts (e.g. SMS, email, push) and reporting tools
2.3. We reserve the right to add, modify or remove features at any time, with or without notice.
3. Authorized Use & User Responsibilities
3.1. You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.
3.2. You are solely responsible for ensuring the legal right to track any person, vehicle, device or asset. This includes obtaining all necessary consents from drivers, employees, contractors or other individuals, where required by law.
3.3. You agree not to:
Use the Service for illegal tracking, monitoring, harassment or invasion of privacy
Misuse or tamper with the Service, including attempting reverse engineering, hacking or disrupting it
Upload or transmit viruses, malware or any harmful code
Use the Service in a manner that could damage, disable, overburden or impair our servers or networks
3.4. We may suspend or terminate your access if we reasonably believe you have violated these Terms or any applicable law.
4. Location Data and Privacy
4.1. The Service collects and processes real-time and historical location data, as well as device and usage information. By using the Service, you consent (and confirm that you have obtained the necessary consents from monitored users, where applicable) to this collection and processing.
4.2. You are responsible for informing any monitored individuals (e.g. employees or drivers) about the tracking, where required by law, and for handling their data in accordance with privacy and data protection regulations.
4.3. We process personal data in accordance with our Privacy Policy, which is part of these Terms. Refer to the Privacy Policy for details on how we collect, use and protect personal data.
5. Payment, Billing & No Refund Policy
5.1. Certain features or parts of the Service require payment of fees, such as subscription plans, license fees or usage-based charges. Applicable prices and billing cycles will be displayed at the time of purchase or in your account.
5.2. You authorize us (or our payment processors) to charge all fees to the payment method you provide. You must ensure that your payment details are accurate and up-to-date.
5.3. Fees are typically charged in advance for the selected billing period (e.g. monthly, annually) and will renew automatically, unless you cancel in accordance with the cancellation procedure specified in your account or order form.
5.4. No refunds are provided. To the maximum extent permitted by applicable law, all payments are final and non-refundable. This includes, without limitation:
Unused portions of a subscription period
Partial months of service
Downgrades, cancellations or unused features
Suspension or termination of your account due to violation of these Terms
5.5. If a refund is required by mandatory applicable law (e.g. certain consumer protection rules), we will comply with that law. Otherwise, our strict no-refund policy applies.
5.6. We may change our prices or billing structure at any time, but such changes will apply only to future billing periods and we will make reasonable efforts to notify you in advance.
6. Intellectual Property
6.1. The Service, including all software, code, interfaces, designs, logos, trademarks, text, images and other content, is owned by us or our licensors and protected by intellectual property laws.
6.2. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use, strictly in accordance with these Terms.
6.3. You may not copy, modify, distribute, sell, lease or create derivative works from the Service, nor reverse engineer or attempt to extract the source code, except to the extent permitted by mandatory law.
7. Third-Party Services and Hardware
7.1. The Service may integrate with third-party services, APIs, SIM cards, map providers or hardware devices (e.g., GPS trackers). Use of such third-party services may be subject to their own terms and privacy policies.
7.2. We are not responsible for the availability, accuracy, performance or security of third-party services or hardware and we shall not be liable for any damage or loss caused by them.
8. Service Availability & Maintenance
8.1. We strive to keep the Service available and operational, but we do not guarantee uninterrupted or error-free operation.
8.2. We may perform scheduled or unscheduled maintenance, updates or modifications, which may temporarily affect availability.
8.3. We shall not be liable for any loss, damage or cost arising from downtime, delays, data loss or communication failures.
9. Disclaimer of Warranties
9.1. The Service is provided “as is” and “as available”, without any warranty of any kind, express, implied or statutory.
9.2. To the maximum extent permitted by law, we disclaim all warranties, including without limitation:
Fitness for a particular purpose
Merchantability
Non-infringement
Accuracy, reliability or completeness of data (including GPS and map data)
9.3. You acknowledge that GPS and network location data may be inaccurate, delayed or unavailable due to technical, environmental or third-party factors.
10. Limitation of Liability
10.1. To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, loss of data or business interruption, arising out of or in connection with your use of the Service.
10.2. Our total aggregate liability arising out of or related to the Service or these Terms shall not exceed the total amount of fees you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
10.3. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend and hold harmless the Company and its owners, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
Your use or misuse of the Service
Your violation of these Terms
Your violation of any third party’s rights (including privacy and data protection rights)
Your failure to obtain required consents for tracking
12. Term & Termination
12.1. These Terms remain in effect as long as you use the Service.
12.2. You may discontinue use of the Service at any time and, where applicable, cancel your subscription as described in your account or order form.
12.3. We may suspend or terminate your access to the Service, in whole or in part, at any time and without liability, if:
You violate these Terms or applicable law
It is required by law or governmental authority
We discontinue the Service
12.4. Upon termination, your right to use the Service will cease immediately. Certain provisions (such as those relating to payments, disclaimers, limitation of liability and indemnification) will survive termination.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Greece, without regard to its conflict of laws principles. You agree that any dispute arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Thessaloniki, unless mandatory law provides otherwise.
14. Changes to these Terms
We may update or modify these Terms from time to time. When we do so, we will revise the “Last Updated” date above and may provide additional notice where required by law. Your continued use of the Service after any changes become effective constitutes acceptance of the updated Terms.
